Tickets to Arizona Cardinals games at State Farm Stadium are revocable licenses that only grant a one-time entry into the stadium and a seat, or if specified on the ticket, a standing location, for the specified game (the "Event") with no right of re-entry. The person seeking entry pursuant to such license, and any accompanying minors ("Holder"), agrees that such license is subject to these terms ("Terms") and by purchase, acceptance and/or use of such license, Holder is deemed to have read the Terms, understood them and has agreed to be bound by them. Failure to comply with the Terms shall result in forfeiture of the license and all rights arising under it without refund and entitle the Arizona Cardinals and/or Arizona Sports and Tourism Authority (individually or collectively, "Management") to pursue all legal remedies available. Admission may be refused or revoked and Holder may be ejected in Management's sole discretion.
ALL TICKET SALES ARE FINAL. NO REFUNDS OR EXCHANGES EXCEPT AS PROVIDED HEREIN. THE SOLE AND EXCLUSIVE REMEDY if admission is refused or revoked, stadium capacity limitations result in ticket cancellation, or the Event is canceled and not rescheduled for any reason, or for any breach of the Terms, is a refund of up to the ticket price set by Management ("Face Value"). IN NO EVENT SHALL HOLDER BE ENTITLED TO ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES OF ANY KIND INCLUDING, WITHOUT LIMITATION, ANY AMOUNT PAID IN EXCESS OF FACE VALUE FOR THE TICKET. ANY DISPUTE, CLAIM, OR CAUSE OF ACTION IN ANY WAY RELATED TO THE TICKET OR THE EVENT SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION IN MARICOPA COUNTY, ARIZONA, REGARDLESS OF WHERE HOLDER RESIDES OR FROM WHERE HOLDER PURCHASED THEIR TICKET. HOLDER AND MANAGEMENT AGREE THAT ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS. HOLDER UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT THEY ARE WAIVING THEIR RIGHT TO A COURT OR JURY TRIAL AND ANY RIGHT TO LITIGATE OR ARBITRATE ANY CLAIM AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION. IF HOLDER DOES NOT CONSENT TO THIS CLAUSE, HOLDER MUST LEAVE OR NOT ENTER THE STADIUM. THIS CLAUSE IS GOVERNED BY THE FEDERAL ARBITRATION ACT.
The Event date and time (and gate opening) are subject to change at Management's sole discretion, and no such change shall entitle Holder to a refund or other remedy at law or in equity if Holder cannot attend or for any other reason. Please also be aware that there are certain games scheduled during the NFL's flexible scheduling window for which the date and time of the games may be changed from what is originally reflected on the schedule and what may appear on the ticket. For more detailed information about NFL flexible scheduling procedures for the 2023 NFL Season, please visit https://www.nfl.com/schedules/flexible-scheduling-procedures*.* Holder may also be relocated in Management's sole discretion, and no such relocation shall entitle Holder to a refund or other remedy if Holder is relocated to a seat of comparable Face Value.
Holder must comply with all Management policies including without limitation policies addressing security and fan conduct, health and safety, and bags. Holder and Holder's belongings may be searched or assessed. Prohibited items may be confiscated and Holder's admission may be denied or revoked at Management's sole discretion. Holder consents to such searches and assessments and waives all related claims. If Holder does not consent, Holder acknowledges Management has the right to deny or revoke Holder's admission without refund. Management reserves the right to deny or revoke the admission of any person who it determines, in its sole discretion, poses a risk to the health or safety of other attendees or whose conduct violates these Terms, any Management policies, or is otherwise disorderly (or complicit therein) without refund.
Holder agrees not to create, transmit, display, distribute, exploit, misappropriate or sell (or aid in such activity) (1) in any form, any description or account (whether text, data or visual, and including, without limitation, play-by-play data) of the Event or related events (collectively, "Descriptive Data") for any commercial or non-personal, purpose; (2) any images, videos, audio or other form of display or public performance or reproduction of any portion of the Event or related events ("Works") for any commercial or non-personal purpose; or (3) livestreams of any portion of the Event or related events ("Livestreams"). Notwithstanding the foregoing, Holder agrees that by causing their ticket to be scanned upon entry to the Event, Holder shall be deemed to have signed the ticket and granted the National Football League ("NFL") an exclusive worldwide, irrevocable, perpetual, sub-licensable, royalty-free license to all rights associated with any Works, Livestreams, and Descriptive Data. Holder grants irrevocable permission to NFL, the Arizona Cardinals, and their respective sponsors, licensees, advertisers, broadcasters, designees, partners and agents to use, publish, distribute and/or modify Holder's image, likeness, voice, actions and statements in any medium including, without limitation, audio, video, or images of the Event for any purpose without further authorization or compensation, and waives all claims and potential claims relating to such use unless prohibited by law.
HOLDER KNOWINGLY AND VOLUNTARILY ASSUMES ALL RISKS, HAZARDS AND DANGERS incident to the Event and related events, including the risk of personal injury (including death), exposure to communicable diseases, viruses, bacteria or illnesses, or the causes thereof, or lost, stolen or damaged property, whether occurring before, during, or after the Event, however caused, and hereby waives all claims and potential claims relating to such risks, hazards and dangers. NOVEL CORONAVIRUS SARS-COV-2 (TOGETHER WITH ANY VARIATION THEREOF, "COVID-19") IS AN EXTREMELY CONTAGIOUS DISEASE THAT CAN LEAD TO SEVERE ILLNESS AND DEATH. THE CDC ADVISES THAT SENIOR CITIZENS AND THOSE WITH UNDERLYING MEDICAL CONDITIONS ARE ESPECIALLY VULNERABLE. AN INHERENT RISK OF EXPOSURE TO COVID-19 EXISTS IN ANY PLACE WHERE PEOPLE ARE PRESENT. BY ENTERING THE STADIUM AND STADIUM GROUNDS, HOLDER VOLUNTARILY ASSUMES ALL RISKS RELATED TO EXPOSURE TO COVID-19.
Management is not responsible for lost, stolen, destroyed, duplicated or counterfeit tickets and may refuse to honor them. Tickets may not be used for, or in connection with, any form of commercial purposes including, without limitation, advertising, promotions, contests, sweepstakes, giveaways, gambling or gaming, without the express written consent of the Arizona Cardinals and NFL. Use of tickets in violation of law is strictly prohibited and will result in seizure, revocation and/or forfeiture of the license without refund.
RELEASE, WAIVER & COVENANT NOT TO SUE. On behalf of Holder and Holder's Related Persons, Holder knowingly and voluntarily releases and covenants not to sue each of the Released Parties with respect to any and all claims that Holder or any of Holder's Related Persons may have or hereafter accrue, against any of the Released Parties, that relate to any of the risks, hazards and dangers described above, including without limitation any and all claims that arise out of or relate in any way to Holder's (i) exposure to COVID-19; (ii) entry into, or presence within or around, the Event (including all risks related thereto, including without limitation in parking areas or entry gates, or associated with locations near the field of play) or compliance with any rules, regulations or protocols applicable to the Event; or (iii) interaction with any personnel of any of the Released Parties at the Event, in each case whether caused by any action, inaction or negligence of any Released Party or otherwise. HOLDER UNDERSTANDS THAT THEY ARE RELEASING AND WAIVING CERTAIN POTENTIAL RIGHTS HELD BY HOLDER.
As used herein:
- "Related Persons" means Holder's heirs, assigns, executors, administrators, next of kin, anyone attending the Event with Holder (which persons Holder represents have authorized Holder to act on their behalf for purposes of the release herein), and other persons acting or purporting to act on Holder's or their behalf.
- "Released Parties" means: (i) Arizona Cardinals Football Club LLC; New Cardinals Stadium, LLC; Arizona Sports and Tourism Authority; State Farm Stadium; NFL Ventures, Inc.; NFL Ventures, L.P.; NFL and its member clubs; and each of their respective direct and indirect affiliates, administrators, designees, licensees, agents, owners, officers, directors, employees, contractors (and their employees) and other personnel; (ii) the direct and indirect owners, lessees and sublessees of State Farm Stadium and related stadium grounds (including, without limitation, parking areas and entry gates) ("Stadium"); (iii) all third parties performing services at the Stadium; and (iv) any parents, subsidiaries, affiliated and related companies and officers, directors, owners, members, managers, partners, employers, employees, agents, contractors, subcontractors, insurers, representatives, successors and/or assigns of each of the foregoing entities and persons, whether past, present or future and whether in their institutional or personal capacities.
Fan Health Promise
You agree, on behalf of yourself and on behalf of any other person for whom you are obtaining this ticket, that you will not attend the Event if, under the CDC's guidelines in effect at the time of the Event, it is recommended that, as of the date of the Event, you stay at home, quarantine and/or isolate (e.g., as a result of your testing positive, developing symptoms, or having a direct exposure to someone who has tested positive for COVID-19). If any provision of this revocable license is determined to be invalid, illegal, or unenforceable, it shall be deemed severed and not affect the enforceability of any other provisions, which shall be enforced as if the revocable license did not contain the invalid, illegal, or unenforceable provision.
State Farm Stadium WiFi Terms and Conditions
This document sets forth the "Terms and Conditions" on which wireless Internet access (the "Service") is provided free of charge to you, as a guest of State Farm Stadium ("Stadium").
Your access to the Service is completely at the discretion of the Stadium. Access to the Service may be blocked, suspended, or terminated at any time for any reason including, but not limited to, violation of these Terms and Conditions, actions that may lead to liability, disruption of access to other users or networks, and violation of applicable laws or regulations.
The Stadium reserves the right at all times to withdraw the Service, change the specifications or manner of use of the Service, to change access codes, usernames, passwords or other security information necessary to access the service.
Where applicable as used herein, the term "Stadium" or "we" includes the Arizona Cardinals, the operator of the Service.
IF YOU DO NOT AGREE WITH THESE TERMS, INCLUDING CHANGES THERETO, DO NOT ACCESS OR USE THE SERVICE.
- that the Service may not be uninterrupted or error-free;
- that your device may be exposed to viruses or other harmful applications through the Service;
- that Stadium does not control and is not responsible for third-party data, content, services, or products that you access or download through the Service.
- that Stadium does not guarantee the security of the Service and that unauthorized third parties may access your computer or files or otherwise monitor your connection;
- that Stadium's ability to provide the Service without charge is based on the limited warranty, disclaimer and limitation of liability specified in this Section and it would require a substantial charge if any of these provisions were unenforceable;
- that Stadium can at any point block access to internet services that it determines would violate the acceptable use restrictions set forth in Section 2.
The service and any products or services provided on or in connection with the service are provided on an "as is", "as available" basis without warranties of any kind whatsoever. All warranties, conditions, representations, indemnities and guarantees with respect to the content or service and the operation, capacity, speed, functionality, qualifications, or capabilities of the services, goods or personnel resources provided hereunder, whether express or implied, arising by law, custom, prior oral or written statements by the Stadium, or otherwise (including, but not limited to any warranty of satisfactory quality, merchantability, fitness for particular purpose, title and non-infringement) are hereby overridden, excluded and disclaimed.
2. ACCEPTABLE USE OF THE SERVICE
2.1 You must not use the Service to access internet services, or send or receive e-mails or other materials, which:
2.1.1 are defamatory, threatening, intimidating or which could be classified as harassment, including but not limited to material or language that encourages bodily harm or destruction of property;
2.1.2 contain obscene, profane or abusive language or material;
2.1.3 contain pornographic material (that is text, pictures, films, video clips of a sexually explicit or arousing nature);
2.1.4 contain offensive or derogatory images regarding sex, race, religion, color, origin, age, physical or mental disability, medical condition or sexual orientation;
2.1.5 contain material which infringe third party's rights (including intellectual property rights);
2.1.6 in our reasonable opinion may adversely affect the manner in which we carry out our work;
2.1.7 are bulk and/or commercial messages;
2.1.8 contain forged or misrepresented message headers, whether in whole or in part, to mask the originator of the message;
2.1.9 are activities that invade another's privacy; or
2.1.10 are otherwise unlawful or inappropriate;
2.2 Music, video, pictures, text and other content on the Internet are copyright works and you should not download, alter, e-mail or otherwise use such content unless certain that the owner of such works has authorized its use by you.
2.3 You must not use the Service to access illegally or without authorization computers, accounts, equipment or networks belonging to another party, or attempting to penetrate security measures of another system. This includes any activity that may be used as a precursor to an attempted system penetration, including, but not limited to, port scans, stealth scans, or other information gathering activity.
2.4 You must not use the service to distribute Internet viruses, Trojan Horses, or other destructive software, or information regarding the creation of and sending Internet viruses, worms, Trojan Horses, pinging, flooding, mail-bombing, or denial of service attacks. Also, activities that disrupt the use of or interfere with the ability of others to effectively use the node or any connected network, system, service, or equipment.
2.5 You may not use the Service to record or send audio and/or video streams or recordings to locations outside the Stadium, including but not limited to applications such as Periscope or Facebook. Members of the press who wish to send video streams of NFL events may utilize other methods of sending video streams, such as wired ports or cellular data so long as the video stream is in compliance with current NFL policy regarding content and is approved by the Arizona Cardinals Media Relations Department.
2.6 You may not use the Service for hacking.
2.7 You may not use the Service to advertise, transmit, or otherwise make available any software product, product, or service that is designed to violate these Terms and Conditions, which includes the facilitation of the means to spam, initiation of pinging, flooding, mail-bombing, denial of service attacks, and piracy of software.
2.8 You may not use the Service for the sale, transfer, or rental of the Service to customers, clients or other third parties, either directly or as part of a service or product created for resale.
2.9 You may not use the Service to seek information on passwords or data belonging to another user.
2.10 You may not use the Service to make unauthorized copies of proprietary software, or offering unauthorized copies of proprietary software to others.
2.11 You may not use the Service to intercept or examine the content of messages, files or communications in transit on a data network.
2.12 You may not use the Service for high bandwidth operations, such as large file transfers and media sharing with peer-to-peer programs (e.g., torrents).
2.13 The Service is intended for Stadium guest use only. Access to this Service must not be used for commercial activity.
2.14 We may terminate or temporarily suspend the Service if we reasonably believe that you are in breach of any provisions of these Terms and Conditions.
2.15 We recommend that you do not use the service to transmit or receive any confidential information or data and should you choose to do so you do so at your own risk.
2.16 The Service will assign you a temporary IP address each time you access the Service. You may not program any other IP or MAC address into your device that accesses the Service.
2.17 You may not modify, adapt, translate, or reverse engineer any portion of the Service.
2.18 You must not log onto the Service under false or fraudulent pretenses or identities.
2.19 You must not transmit content that falsely expresses or implies that it is sponsored or endorsed by the Stadium or the Arizona Cardinals, that infringes, misappropriates or violates the intellectual property, publicity, privacy or other proprietary rights of any party, or that is defamatory, unlawful or promotes or encourages illegal activity.
3. CRIMINAL ACTIVITY
3.1 You must not use the Service to engage in any activity which constitutes or is capable of constituting a criminal offence.
3.2 You agree and acknowledge that we may be required to provide assistance and information to law enforcement, governmental agencies and other authorities.
3.3 You agree and acknowledge that we will monitor your activity while you use this service and keep a log of the Internet Protocol ("IP") addresses of any devices which access the Service, the times when they have accessed the Service and the activity associated with that IP address
3.4 You further agree we are entitled to cooperate with law enforcement authorities and rights-holders in the investigation of any suspected or alleged illegal activity by you which may include, but is not limited to, disclosure of such information as we have (whether pursuant to clause 3.3 or otherwise), and are entitled to provide by law, to law enforcement authorities or rights-holders.
4. INFORMATION COLLECTION, USE, AND SHARING
4.1 The Stadium may require users of the Service to provide certain personal information in order to access the Service. All information you provide to the Stadium must be accurate and complete. You are responsible for the actions of others who access or use the Service under your name and associated contact information.
4.2 The Stadium reserves the right to monitor and collect information while you are connected to the Service, such as account information and usage information. All such information can be used at the discretion of the Stadium, including for our own business purposes and sharing such information with law enforcement agencies, Stadium business partners and/or vendors.
5. DISPUTE RESOLUTION; MANDATORY BINDING ARBITRATION
5.1 These Terms and Conditions are governed by the Federal Arbitration Act, which allows parties to agree to use arbitration, rather than litigation, to resolve disputes. In arbitration, disputes are resolved by an arbitrator, not a judge or a jury. Arbitration procedures are simpler and more limited than in court. In exchange for your access to and use of the System, you agree to be bound by this Section of these Terms and Conditions.
5.2 You agree to submit all disputes and claims that you have and that you ever may have against any of the Stadium Parties (as defined below) arising out of or relating to your access to and/or use of the Service ("Claims"), including without limitation all Claims asserting that any of the Stadium Parties or any of their respective agents engaged in conduct prohibited on any basis under any federal, state, or local statute, ordinance, regulation, rule of decision, or principle of common law, to binding arbitration in accord with this Section of these Terms and Conditions.
5.2.1 The arbitration of any Claim will be administered by the American Arbitration Association ("AAA"), using its Consumer Arbitration Rules and its Consumer Due Process Protocol Statement of Principles (collectively, "AAA Rules & Principles") in effect at the time the Claim arises. The AAA Rules & Principles (and the forms used to file for arbitration of a Claim) are available online at www.adr.org, or you can call the AAA at +1‑(800) 778‑7879 to ask for a copy.
5.2.2 The arbitration will take place in Maricopa County, Arizona. However, if the arbitrator determines that Maricopa County is not reasonably convenient to you (with due consideration of the ability to travel and other pertinent circumstances), the arbitration will take place in such location that the arbitrator determines is reasonably convenient to both you and the Stadium Arbitration Parties.
5.2.3 The AAA Rules & Principles determine the filing fee that you would be required to pay to commence an arbitration with the AAA. Responsibility for the arbitrator's fees and costs will be allocated by the arbitrator in accord with the AAA Rules & Principles.
5.2.4 You have the right to consult with or be represented by an attorney or other spokesperson of your own choosing during the arbitration process. Each party is responsible for its own representative's fees and other expenses, such as witness fees and expert witness costs, incurred during the arbitration process.
5.2.5 The arbitration of any Claim will be conducted in a confidential manner to an extent consistent with the AAA Rules & Principles, except as may be required by applicable law, and except as necessary to confirm, vacate, or enforce the arbitration award. The arbitrator will make reasonable efforts to maintain the privacy of the hearing to the extent permitted by applicable law; the hearing will not be open to the general public.
5.2.6 The arbitrator, and not any federal, state, or local court or agency, will have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms and Conditions, including without limitation any claim that all or any part of these Terms and Conditions is void or voidable, and including without limitation any dispute over whether any claim is subject to arbitration under these Terms and Conditions.
5.2.7 Judgment upon the arbitration award will be final, binding, and conclusive upon the parties and may be entered in any court having jurisdiction.
5.3 By these Terms and Conditions you knowingly and voluntarily waive any right to a jury trial on any Claim.
5.4 By these Terms and Conditions you also knowingly and voluntarily waive any right to pursue any class action relief against any of the Stadium Parties on any Claim. You agree to arbitrate all Claims in your individual capacity only, and you waive any right to seek or recover relief in any forum against any of the Stadium Parties on any Claim on any class action, collective, representative, or similar basis.
5.5 To the extent required by the AAA Rules & Principles, Claims that are within the scope of the jurisdiction of the Maricopa County Justice Court (small claims court) may be brought in such court; provided that any such Claims shall remain subject to all other provisions of these Terms and Conditions and all other AAA Rules and Principles; and provided further that any appeal of any judgment entered in such court will be subject to binding arbitration as set forth in these Terms and Conditions.
5.6 You agree to submit to the personal jurisdiction of any federal or state court in Maricopa County, Arizona, in order to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.
6. OTHER TERMS
6.1 Under no circumstances will the Stadium, Arizona Cardinals Football Club LLC; New Cardinals Stadium, LLC; Stadium Development LLC; the National Football League; SMG; Arizona Sports and Tourism Authority or any of their respective business partners, event promoters, service providers or vendors (collectively, the "Stadium Parties"), or their respective officers, directors, employees, agents, or affiliates be liable for consequential, indirect, special, punitive or incidental damages, whether foreseeable or unforeseeable, based on any claim arising out of or relating to (x) your use of the Service or (y) breach or failure of express or implied warranty, breach of contract, misrepresentation, negligence or strict liability, in tort or otherwise. In addition, the Stadium Parties shall not be responsible for any damages, losses, expenses or costs that you suffer as a result of: (a) any interruption or failure of the Services; (b) the downloading or use of any information, data or materials obtained via the Services or from the internet; (c) any failure to complete a transaction on the internet or any loss of data due to delays, non-deliveries, misdeliveries, or Service interruptions; (d) anything beyond the reasonable control of the Stadium Parties, including but not limited to any interruption or failure of any third party's services, software, equipment or network; (e) unauthorized use or modification of the Services or combination of the Services with other services, products or equipment; (f) viruses, worms, trojan horses, or other undesirable data or software; or (g) any attempt by unauthorized users (e.g., hackers) to obtain access to your data, website, computers, or networks.
6.2 You agree to release, indemnify and hold harmless the Stadium Parties and their respective officers, directors, employees, agents and affiliates from any claim, liability, loss, damage, cost, or expense (including without limitation reasonable attorney's fees) arising out of or relating to your use of the Service, including but not limited to any actions taken by you in connection with your use of the Service, any materials you may download or upload through the Service, or your violation of (x) any law or regulation, (y) these Terms and Conditions or (z) any third party's rights. This Section will not be construed to limit or exclude any other claims or remedies that Stadium may assert under these Terms and Conditions or by law.
6.3 These Terms and Conditions shall not be construed as creating a partnership, joint venture, agency relationship or granting a franchise between or among any persons. If any provision of these Terms and Conditions is held to be unenforceable, in whole or in part, such holding will not affect the validity of the other provisions of these Terms and Conditions.
6.4 The Stadium's performance of these Terms and Conditions is subject to existing laws and legal process, and nothing contained in these Terms and Conditions shall waive or impede Stadium's right to comply with law enforcement requests or requirements relating to your use of this Service or information provided to or gathered by the Stadium with respect to such use. These Terms and Conditions constitutes the complete and entire statement of all terms, conditions and representations of the agreement with respect to its subject matter and supersedes all prior writings or understanding. The Stadium Parties are third party beneficiaries of these Terms and Conditions and shall have the right to enforce these Terms and Conditions against you.
6.5 These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any principles of conflicts of law.
6.6 Subject to Section 5, you agree that the proper and exclusive forum for any legal action arising out of or relating to these Terms and Conditions shall be Maricopa County, Arizona, and that any such action shall be brought only in Maricopa County, Arizona. You consent to the exercise of personal jurisdiction in any such action by the courts of Maricopa County, Arizona.
